Terms of Service

By accessing or using Arbi ("Arbi", the "Service"), an artificial intelligence-enabled recruiting software-as-a-service platform offered by Neuroscale, Inc. ("Neuroscale", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, you must not use the Service. Your use of the Service constitutes acceptance of these Terms as of the date of first use. We may update these Terms from time to time; the "Last updated" date above reflects the current version. Material changes may be communicated through the Service, by email, or as otherwise required by law.

These Terms govern your access to and use of Arbi, including any related websites, applications, APIs, documentation, and support services we provide in connection with the platform. Certain features may be subject to additional terms or product-specific policies presented at the time of use; those terms supplement these Terms to the extent they apply.

Arbi is an AI recruiting platform designed to help organizations identify, evaluate, and engage talent. The Service may include candidate sourcing and talent discovery across data sources you authorize; automated and semi-automated screening, ranking, and matching; drafting or personalization of outreach and communications; workflow tools for recruiters and hiring teams; analytics and reporting; and integrations with applicant tracking systems, CRM tools, email, calendars, and other systems you connect.

Neuroscale does not guarantee that the Service will meet every hiring outcome, timeline, or business objective. Features, models, data sources, and integrations may evolve. We may add, modify, suspend, or discontinue functionality with reasonable notice where practicable, or immediately where necessary for security, legal compliance, or service integrity.

You are solely responsible for your recruiting decisions, compliance with employment and privacy laws, and the manner in which you use outputs from the Service, including any communications sent to candidates. The Service is a tool to assist your processes; it does not replace professional judgment or legal advice.

To use the Service, you must register for an account and provide accurate, current, and complete information. You must be at least eighteen years of age and capable of forming a binding contract. You agree to maintain and promptly update your account information and to keep your login credentials confidential.

You must notify Neuroscale promptly of any unauthorized access or suspected security incident. Neuroscale is not liable for loss or damage arising from your failure to safeguard credentials or from unauthorized use of your account, except to the extent caused by Neuroscale's gross negligence or willful misconduct.

You may not share accounts in a manner that circumvents user limits or licensing, sell or transfer your account without our prior written consent, or register using false identities or contact information. Enterprise customers may designate administrators to manage Authorized Users.

Access to the Service is provided on a subscription basis according to the plan, order form, or checkout flow you select ("Subscription"). Fees, billing cycles, and included usage limits are as stated at purchase or in your agreement with Neuroscale. Unless otherwise specified, subscriptions renew automatically at the end of each term at the then-current rates unless you cancel in accordance with this section.

You authorize Neuroscale and its payment processors to charge your designated payment method for all applicable fees, taxes, and charges. Fees are non-refundable except as required by law or as expressly stated in writing. If payment fails, we may suspend access until payment is received.

You may cancel your Subscription through the account settings or by contacting support as described in your order. Cancellation takes effect at the end of the current billing period unless otherwise agreed. Upon expiration or termination, your right to access the Service ceases subject to the "Termination" section and any data export rights described in our privacy policy or agreement.

You agree to use the Service only for lawful recruiting and talent acquisition purposes consistent with these Terms and applicable law, including employment discrimination laws, data protection regulations, and rules governing electronic communications and marketing.

Without limiting the foregoing, you must not:

• Abusive communications. Use the Service to send spam, deceptive, harassing, or discriminatory messages.
• Security abuse. Reverse engineer, circumvent security, or probe the Service or our models except as permitted by law.
• Competitive misuse. Use the Service to build a competing product or to train external models using our outputs in violation of the "Intellectual Property" section.
• Harmful code. Upload malware or interfere with the Service's operation.
• Misrepresentation. Misrepresent your identity or affiliation.
• Impermissible data use. Use candidate or employee data obtained through the Service for impermissible secondary purposes.

We may investigate violations and cooperate with law enforcement. We may remove content, throttle usage, or suspend or terminate access for conduct that we reasonably believe violates these Terms or harms other users, candidates, or Neuroscale.

The Service, including its software, user interface, branding, documentation, underlying AI models, algorithms, and infrastructure, is owned by Neuroscale and its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, Neuroscale grants you a limited, non-exclusive, non-transferable, revocable license during the Subscription term to access and use the Service for your internal business purposes.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Service except as expressly permitted. You may not remove proprietary notices. Feedback you provide about the Service may be used by Neuroscale without obligation or compensation to you, except where prohibited by law.

Open-source components, if any, are subject to their respective licenses. Nothing in these Terms transfers ownership of Neuroscale intellectual property to you. All rights not expressly granted are reserved.

You retain ownership of data, materials, and content you or your Authorized Users submit, upload, or make available through the Service, including job descriptions, resumes, profiles, communications, and configuration data ("User Content"). You represent that you have all rights and consents necessary to provide User Content and to instruct Neuroscale to process it for the Service.

You grant Neuroscale a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use User Content as reasonably necessary to provide, maintain, secure, and improve the Service; to comply with law; and as described in our Privacy Policy.

You are responsible for the accuracy and legality of User Content and for your compliance with privacy notices, consents, and data subject rights. Neuroscale may remove or refuse User Content that violates these Terms or law, or that poses a security or operational risk.

Certain features of the Service produce or assist in producing content using artificial intelligence and machine learning, including candidate summaries, match scores, ranking explanations, suggested messages, and similar outputs ("AI Outputs"). AI Outputs are generated probabilistically and may be incomplete, inaccurate, outdated, or unsuitable for your specific use case.

You must not rely on AI Outputs as the sole basis for employment decisions without appropriate human review and compliance checks. Human review should consider factual accuracy, fairness and non-discrimination, and outreach content compliance.

Neuroscale does not warrant the accuracy, fairness, or fitness of AI Outputs for any particular purpose. You are solely responsible for reviewing, validating, and using AI Outputs in accordance with law and your internal policies.

The Service may interoperate with third-party products and services that you choose to connect, such as ATS platforms, CRMs, email providers, calendar systems, single sign-on providers, and data enrichment vendors ("Third-Party Services"). Your use of Third-Party Services is governed solely by your agreements with those providers.

When you enable an integration, you authorize Neuroscale to access and exchange data with the Third-Party Service as needed to provide the integrated functionality, subject to the permissions you grant. Third-party names and logos may be displayed to indicate compatibility; they are trademarks of their respective owners.

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, in no event will Neuroscale, its affiliates, or their respective directors, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to these Terms or the Service.

Neuroscale's aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Neuroscale for the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars (USD $100), if you have not paid fees.

You will defend, indemnify, and hold harmless Neuroscale, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to your User Content, your use of the Service, your violation of these Terms or applicable law, your recruiting practices, disputes with candidates or third parties, or your integrations.

Neuroscale will promptly notify you of any claim subject to indemnification and cooperate in the defense at your expense. You will not settle any claim in a manner that imposes obligation or admission on Neuroscale without its prior written consent.

This indemnification obligation survives termination of these Terms and your use of the Service.

You may stop using the Service at any time. Subscriptions terminate or expire as described in the "Subscription & Payment" section. Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within thirty days after written notice, or immediately for breaches that cannot be cured or payment defaults after applicable cure periods.

Neuroscale may suspend or terminate access to the Service immediately if required by law, if you pose a security risk, or if continuing to provide the Service would expose Neuroscale to liability. Upon termination, your right to access the Service ceases.

Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the paragraph below, exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Service shall be the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts. If you are a consumer or where mandatory law provides otherwise, you may have rights to bring proceedings in your country of residence.

Before filing a claim, the parties agree to attempt in good faith to resolve disputes informally by contacting the other party. Nothing in these Terms limits either party's right to seek injunctive or equitable relief for misuse of intellectual property or confidential information.
